TERMS AND CONDITIONS
a) Student – a User who uses the Website to seek educational services (“Services”);
b) Teacher – a User who uses the Website to provide educational services (“Services”) to Students;
c) User –a Teacher, Student or anyone who is using the Website;
d) Charge – this is the amount of money a Student pays to Remote Teachers LLC for the Services received;
e) Session – this is an interactive online session that takes place in our virtual classroom or platform.
The content on the Website is protected by copyright law and international conventions and is the property of its owner. Any unauthorized use of the content may violate copyright laws, trademark laws, the laws of privacy and publicity, and civil and criminal statutes. Certain documents published on the Website may contain other restrictions, proprietary notices and/or copyright information relating to that individual document, including but not limited to notices that limit or prohibit your ability to make copies of that document. Please review all additional notices before making any copies.
2. User Conduct
You may not use the Website to post or send any materials that (1) interfere with anyone else's use of the Website; (2) are “spam,” abusive, illegal, obscene or threatening in any way; (3) encourage anyone to break the law, or to breach their agreements with Remote Teachers LLC or third parties; (4) violate anyone's copyright or other property right; (5) interfere with the privacy of any other User; (6) contain a virus or any other harmful component; (7) are advertising, surveys, or other commercial materials, except in those areas of the Website where these materials are permitted; or (8) contain false or misleading statements of fact or descriptions of the origin of the material.
Prohibited activity includes, but is not limited to (1) attempting to bypass any measures of the Website designed to prevent or restrict access to the Website, or any portion of the Website; (2) attempting to impersonate another User or person or using the username of another User; (3) criminal or tortious activity; (4) deciphering, decompiling, disassembling or reverse engineering any of the software comprising or in any way making up a part of the Website; (5) deleting the copyright or other proprietary rights notice from any Website content; (6) engaging in any automated use of the system, such as using any data mining, robots or similar data gathering and extraction tools; (7) except as may be the result of standard search engine or Internet browser usage, using or launching, developing or distributing any automated system, including, without limitation, any spider, robot (or "bot"), cheat utility, scraper or offline reader that accesses the Website, or using or launching any unauthorized script or other software; (8) harassing, annoying, intimidating or threatening any Remote Teachers LLC employees or Teachers engaged in providing Services to you; (9) interfering with, disrupting, or creating an undue burden on the Website or the networks or services connected to the Website; (10) making any unauthorized use of the Services, including collecting usernames and/or email addresses of Users by electronic or other, or creating User accounts by automated means or under false pretenses; (11) selling or otherwise transferring your profile; (12) systematic retrieval of data or other content from the Website to create or compile, directly or indirectly, a collection, compilation, database or directory without written permission from Remote Teachers LLC; (13) tricking, defrauding or misleading Remote Teachers LLC and other Users, especially in any attempt to learn sensitive account information such as passwords; (14) using any information obtained from the Website in order to harass, abuse, or harm another person; (15) using the Services as part of any effort to compete with Remote Teachers LLC or to provide services as a service bureau; or (16) using the Website in a manner inconsistent with any and all applicable laws and regulations
Although Remote Teachers LLC may from time to time monitor or review bulletin boards, chatrooms, postings and other areas of the Website, Remote Teachers LLC is under no obligation to do so and assumes no liability or responsibility arising from the contents of any such postings or for any defamation, inaccuracy, libel, obscenity, or profanity contained in any such posting. Remote Teachers LLC may edit or remove any User material or conversation that violates Remote Teachers LLC policies in any way. Remote Teachers LLC will fully cooperate with any law enforcement authorities or court order requesting or directing Remote Teachers LLC to disclose the identity of anyone posting such materials. If an area of the Website allows "private" sharing of User Materials, Remote Teachers LLC does not guarantee the security or privacy of such User Materials.
If you believe another User is violating these terms, particularly if you believe another User is inciting violence or affecting human dignity, please contact us via a ticket, from your account, with subject “Terms Violation”, or from our contact page. If you believe that any User material infringes your copyrights, please provide notification pursuant to Remote Teachers LLC Copyright Complaint Policy.
You agree to pay Remote Teachers LLC all charges at the prices then in effect for the Services you or other persons using your PayPal account may purchase. If you have ordered a Service that is subject to recurring charges then you consent to our charging your balance on a recurring basis, without requiring your prior approval from you for each recurring charge until such time as you cancel the applicable Service. Remote Teachers LLC reserves the right to correct any errors or mistakes in pricing that it makes even if it has already requested or received payment. Remote Teachers LLC may change prices at any time. All payments shall be in U.S. dollars.
In order to use the Services, you must adhere to the following rules below:
a) The minimum duration of a tutoring Session is fifteen (15) minutes (corresponding to one time slot), then increments in time slots of fifteen (15) minutes each. The tutoring fees per time slot (rate) and the fee to answer one question of the pay-per-question (PPQ) Services are determined by the Teachers.
b) The cost, syllabus, duration, and class schedule of a lesson or course (to help students to keep up, catch up, or get ahead) are determined by the Teachers.
c) All Services are pre-paid, using PayPal. If a Student wants to prolong a tutoring Session, he or she will have to purchase one or multiple additional time slots of Services, assuming that the Teacher will be available.
d) Due to the higher percentage of fees charged for small amounts transferred by PayPal, orders less than $10.00 will receive a 50 cents surcharge fee.
e) Teachers receive 82% of the Service cost. The rest of the payment is the commission amount charged by Remote Teachers LLC for each Service. The disbursements, by PayPal or check, are respectively made or sent out every 15th of the month following the month when the Services were completed. There is a PayPal fee associated and applied to each transfer. Please contact PayPal for questions related to these fees.
f) If a User does not log into his/her account for a period of 12 months, it will expire with the funds or credits available in that account.
g) For an account that is left to expire, its User can request the fund to be refunded to his/her PayPal account. The owner of the account needs to initiate a ticket using the “Closing Account” as subject through your account, at least a week before the expiration date.
4. Cancellation and Refund Policy
Please review Company Cancellation and Refund policy posted on our Website prior to making any purchases.
5. User Content
The Website may invite you to chat or participate in blogs, message boards, online forums and other functionality and may provide you with the opportunity to create, submit, post, display, transmit, perform, publish, distribute or broadcast content and materials to Remote Teachers LLC and/or to or via the Website, including, without limitation, text, writings, video, audio, photographs, graphics, comments, suggestions or personally identifiable information or other material (collectively "Content "). Any Content you transmit to Remote Teachers LLC will be treated as non-confidential and non-proprietary. When you create or make available a Contribution, you thereby represent and warrant that:
a) the creation, distribution, transmission, public display and performance, accessing, downloading and copying of your Contribution does not and will not infringe the proprietary rights, including but not limited to the copyright, patent, trademark, trade secret or moral rights of any third party;
b) you are the creator and owner of or have the necessary licenses, rights, consents, releases and permissions to use and to authorize Remote Teachers LLC and the Website Users to use your Content as necessary to exercise the licenses granted by you under this Agreement;
c) you have the written consent, release, and/or permission of each and every identifiable individual person in the Contribution to use the name or likeness of each and every such identifiable individual person to enable inclusion and use of the Contribution in the manner contemplated by this Website;
d) your Contribution is not obscene, lewd, lascivious, filthy, violent, harassing or otherwise objectionable (as determined by Company), libelous or slanderous, does not ridicule, mock, disparage, intimidate or abuse anyone, does not advocate the violent overthrow of any government, does not incite, encourage or threaten physical harm against another, does not violate any applicable law, regulation, or rule, and does not violate the privacy or publicity rights of any third party;
e) your Contribution does not contain material that solicits personal information from anyone under 18 or exploit people under the age of 18 in a sexual or violent manner, and does not violate any federal or state law concerning child pornography or otherwise intended to protect the health or well-being of minors;
f) your Contribution does not include any offensive comments that are connected to race, national origin, gender, sexual preference or physical handicap;
g) your Contribution does not otherwise violate, or link to material that violates, any provision of this Agreement or any applicable law or regulation.
6. License to Use
By posting Content to any part of the Website, or making them accessible to the Website by linking your account to any of your social network accounts, you automatically grant, and you represent and warrant that you have the right to grant, to Remote Teachers LLC an unrestricted, unconditional, unlimited, irrevocable, perpetual, non-exclusive, transferable, royalty-free, fully-paid, worldwide right and license to host, use, copy, reproduce, disclose, sell, resell, publish, broadcast, retitle, archive, store, cache, publicly perform, publicly display, reformat, translate, transmit, excerpt (in whole or in part) and distribute such Content (including, without limitation, your image and voice) for any purpose, commercial, advertising, or otherwise, to prepare derivative works of, or incorporate into other works, such Content , and to grant and authorize sublicenses of the foregoing. The use and distribution may occur in any media formats and through any media channels. Such use and distribution license will apply to any form, media, or technology now known or hereafter developed, and includes our use of your name, Remote Teachers LLC name, and franchise name, as applicable, and any of the trademarks, service marks, trade names and logos, personal and commercial images you provide. Remote Teachers LLC does not assert any ownership over your Content; rather, as between us and you, subject to the rights granted to us in this Agreement, you retain full ownership of all of your Content and any intellectual property rights or other proprietary rights associated with your Content.
Remote Teachers LLC has the right, in our sole and absolute discretion, to (i) edit, redact or otherwise change any Content, (ii) re-categorize any Content to place them in more appropriate locations or (iii) pre-screen or delete any Content that are determined to be inappropriate or otherwise in violation of this Agreement.
7. Third Party Websites and Contents
As part of the functionality of the Website, you may link your account with online accounts you may have with third party service providers (each such account, a “Third Party Account”) by either: (i) providing your Third Party Account login information through the Website; or (ii) allowing Company to access your Third Party Account, as is permitted under the applicable terms and conditions that govern your use of each Third Party Account.
The Website contains (or you may be sent through the Website or the Company Services) links to other websites ("Third Party Websites") as well as articles, photographs, text, graphics, pictures, designs, music, sound, video, information, applications, software and other content or items belonging to or originating from third parties (the "Third Party Content"). Such Third Party Websites and Third Party Content are not investigated, monitored or checked for accuracy, appropriateness, or completeness by us, and we are not responsible for any Third Party Websites accessed through the Website or any Third Party Content posted on, available through or installed from the Website, including the content, accuracy, offensiveness, opinions, reliability, privacy practices or other policies of or contained in the Third Party Websites or the Third Party Content. Inclusion of, linking to or permitting the use or installation of any Third-Party Website or any Third-Party Content does not imply approval or endorsement thereof by us. If you decide to leave the Website and access the Third-Party Websites or to use or install any Third-Party Content, you do so at your own risk and you should be aware that our terms and policies no longer govern. You should review the applicable terms and policies, including privacy and data gathering practices, of any website to which you navigate from the Website or relating to any applications you use or install from the Website. Any purchases you make through Third Party Websites will be through other websites and from other companies, and Company takes no responsibility whatsoever in relation to such purchases which are exclusively between you and the applicable third party.
8. Access and Interference
The Website may contain measures, such as robot exclusion headers, to prevent or restrict access to the Websites. You agree not to interfere or attempt to interfere with the proper working of the Websites and not to bypass the robot exclusion headers or other measures Remote Teachers LLC may use to prevent or restrict access to the Websites.
9. Warranties and Disclaimer
i) Student’s Warranties
You must warrant that:
a) You are not less than thirteen years old. And if you are a minor, you certify to us that, you must have your parent or guardian read and agree to this Agreement prior to you using the Remote Teachers LLC Website.
b) You will not provide any User of the Website with any personally identifying information including, but not limited to, phone number, email address, home address, postal address, website address or details of any organization, school or body of which the User is a member.
c) You are responsible for assessing, and choosing the suitability of a Teacher based on their profile information or rate;
d) You will behave and will not in any way be disruptive, offensive, abusive, unlawful, harassing, defamatory, threatening, harmful, obscene, profane, sexually oriented, racially offensive or otherwise objectionable in any respect to any User.
e) You acknowledge that Remote Teachers LLC cannot guarantee the continued availability of any Teacher and accept no responsibility or liability for the withdrawal, removal or unavailability of a Teacher.
f) You acknowledge that courses/lessons are held based on sufficient enrollment and teacher’s availability, and that no guarantee of any kind is made regarding holding any course/lesson.
ii) Teachers’ Warranties
You must warrant that:
a) You are at least (18) eighteen years old, a Teacher, and possess all the vital qualifications and experience to provide the Services you offer on the Website.
b) You will provide to Company accurate, genuine and up to date personal information and qualification about yourself.
c) You will personally be responsible for any information you post on the Remote Teachers Website and shall indemnify Remote Teachers LLC against any liability incurred as a result of any inaccurate, false, misleading or incomplete information you provide to us.
d) You will not at any circumstances provide to Students any personal identifying information including, but not limited to, personal website address, phone number, email address or postal address etc.
e) You will not at any time request from any Students their personally identifying information including, but not limited to, email address, postal address, phone number, home address, website address or perhaps details of any organization, institution, school or body of which the Students is a member while using or accessing the Website or Services.
f) You are not in any way employed by Remote Teachers LLC and therefore you will be responsible for your own income tax, national insurance and any other liabilities payable.
g) You shall indemnify Remote Teachers LLC against any liabilities, and all losses, costs, damages and expenses howsoever incurred by Remote Teachers Website as a result of your use of the Website and your breach of any of these Terms.
h) All materials used by you to provide Services will not be offensive or defamatory and will not infringe any US laws.
i) You are solely responsible for the contents, information or any video or materials that you provide during the Services.
j) You will participate fully and professionally in all instant and booked tutoring Sessions and courses/lessons.
k) You will remain on the platform for the duration of all your scheduled Sessions, even if the student is late or absent.
l) After the successful completion of a Service, you will update its order status to “Fulfilled” from the “Order” page.
m) You will respect the pay-per-question services delivery time or contact the Student as soon as possible if you cannot provide the requested service.
n) You are solely responsible for all equipment necessary to access the Website and provide the Services.
o) You acknowledge that courses/lessons are held based on sufficient enrollment and that no guarantee of any kind is made regarding holding any course/lesson.
iii) Disclaimer of Warranty
THE WEBSITE IS PROVIDED “AS IS” AND WITH ALL FAULTS. USE THE WEBSITE AT YOUR OWN RISK. REMOTE TEACHERS LLC MAKES NO REPRESENTATIONS OR WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, WITH REGARD TO THE WEBSITE. TO THE FULLEST EXTENT PERMITTED BY LAW, REMOTE TEACHERS LLC DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, AND ALL IMPLIED TERMS AND CONDITIONS, INCLUDING BUT NOT LIMITED TO THOSE RELATED TO MERCHANTABILITY, SATISFACTORY QUALITY, AND FITNESS FOR A PARTICULAR PURPOSE, TITLE OR NON-INFRINGEMENT. OCCASIONALLY THERE MAY BE INFORMATION ON THE WEBSITE THAT CONTAINS TYPOGRAPHICAL ERRORS, INACCURACIES OR OMISSIONS THAT MAY RELATE TO SERVICE DESCRIPTIONS, PRICING, AVAILABILITY, AND VARIOUS OTHER INFORMATION. COMPANY RESERVES THE RIGHT TO CORRECT ANY ERRORS, INACCURACIES OR OMISSIONS AND TO CHANGE OR UPDATE THE INFORMATION AT ANY TIME, WITHOUT PRIOR NOTICE.
iv) Disclaimer of Liability
Great care has been taken to ensure that the information available on this Website is correct and error free. We apologize for any errors or omissions that may have occurred.
12. Term and Termination
This Agreement shall remain in full force and effect while you use the Website or are otherwise a User or member of the Website, as applicable. You may terminate your use or participation at any time, for any reason, by following the instructions for terminating User accounts in your account settings, if available, or by contacting us via a ticket, from your account, with subject “Close Account”.
WITHOUT LIMITING ANY OTHER PROVISION OF THIS AGREEMENT, COMPANY RESERVES THE RIGHT TO, IN COMPANY’S SOLE DISCRETION AND WITHOUT NOTICE OR LIABILITY, DENY ACCESS TO AND USE OF THE WEBSITE AND THE COMPANY SERVICES, TO ANY PERSON FOR ANY REASON OR FOR NO REASON AT ALL, INCLUDING WITHOUT LIMITATION FOR BREACH OF ANY REPRESENTATION, WARRANTY OR COVENANT CONTAINED IN THIS AGREEMENT, OR OF ANY APPLICABLE LAW OR REGULATION, AND COMPANY MAY TERMINATE YOUR USE OR PARTICIPATION IN THE WEBSITE AND THE COMPANY SERVICES, DELETE YOUR PROFILE AND ANY CONTENT OR INFORMATION THAT YOU HAVE POSTED AT ANY TIME, WITHOUT WARNING, IN COMPANY’S SOLE DISCRETION.
In order to protect the integrity of the Website and Company Services, Company reserves the right at any time in its sole discretion to block certain IP addresses from accessing the Website and Company Services.
If Company terminates or suspends your account, for any reason, you are prohibited from registering and creating a new account under your name, a fake or borrowed name, or the name of any third party, even if you may be acting on behalf of the third party. In addition to terminating or suspending your account, Company reserves the right to take appropriate legal action, including without limitation pursuing civil, criminal, and injunctive redress.
13. Intellectual Property Rights
The content on the Website (“Company Content”) and the trademarks, service marks and logos contained therein (“Marks”) are owned by or licensed to Remote Teachers LLC, and are subject to copyright and other intellectual property rights under United States and foreign laws and international conventions. The Remote Teachers LLC Properties are protected by copyright laws throughout the world and subject to other intellectual property and proprietary rights and laws. Subject to these Terms, Remote Teachers LLC grants you a limited license to reproduce portions of the Remote Teachers LLC Properties for your internal use. Unless otherwise specified by Remote Teachers LLC in a separate license, your right to use any Remote Teachers LLC Properties that you access or download through the Application or the Services is subject to these Terms. Except for User Submissions (defined below) and third party content, the Website and the Services, including text, software, graphics, photos, interactive features and other content and the trademarks and logos displayed on the Website are owned by Remote Teachers LLC and its licensors and are subject to copyright, trademark, and other intellec1`tual property rights under U.S. and international laws.
14. Limited Liability
Remote Teachers LLC do not act as an agent for any Teacher and solely provide a Website where Students can connect with Teachers to receive Services that they offer.
You are solely responsible for your interactions with Users. You understand that Remote Teachers LLC does not in any way screen Users. Your use of the Remote Teachers LLC Website or provision of Services is at your own risk and discretion and you therefore agree to take reasonable precautions in all interactions with Users and that you are solely responsible for, and agree to exercise caution, discretion, common sense and judgment in, using the Website or providing or receiving the Services.
15. Arbitration and Governing Law
This Agreement and all aspects of the Website and Company Services shall be governed by and construed in accordance with the laws of the State/Commonwealth of Virginia, without regard to conflict of law provisions. Any and all dispute, disagreement, controversy, or claims arising out of or relating to this contract, or the breach, termination, or invalidity thereof, shall be settled through consultation between the parties. In the event that the parties are unable to resolve their differences through consultation, the matter shall be submitted to the American Arbitration Association ("AAA") and, where appropriate, the AAA’s Supplementary Procedures for Consumer Related Disputes ("AAA Consumer Rules"), both of which are available at the AAA website www.adr.org. You agree not to commence or prosecute any action in connection therewith other than in the state and federal courts located in Loudoun County, State of Virginia, and you hereby consent to, and waive all defenses of lack of personal jurisdiction with respect to, venue and jurisdiction in such state and federal courts.
16. Dispute Between Users
If there is a dispute between Users of the Website, or between Users and any third party, you understand and agree that Company is under no obligation to become involved. In the event that you have a dispute with one or more other Users, you hereby release Company, its officers, employees, agents and successors in rights from claims, demands and damages (actual and consequential) of every kind or nature, known or unknown, suspected and unsuspected, disclosed and undisclosed, arising out of or in any way related to such disputes and/or the Company Services.
